Board of Directors

The Board of Directors is the body legally responsible for ITEF as a registered organisation. The Board ensures the Forum operates within its constitution, complies with the regulatory framework of every jurisdiction in which it has a chapter, and safeguards member funds and member data.

Responsibilities

• Approving the audited annual accounts before they are presented to the General Body.
• Signing off on the appointment of the external auditor each year.
• Maintaining the register of members and the official seal of the Forum.
• Ensuring compliance with data-protection, anti-money-laundering, and tax-reporting obligations in every jurisdiction where ITEF operates a chapter.
• Approving any contract that commits the Forum beyond a single financial year or above the threshold prescribed in the constitution.

Board composition

The Board comprises the Chairman, Vice Chairman, General Secretary, Treasurer, and three Independent Directors drawn from the wider membership. Independent Directors are appointed by the General Body for a four-year term, staggered so that no more than one Independent seat falls vacant in any single year. Independent Directors must not hold any other office-bearer role during their tenure on the Board.

Meetings & quorum

The Board meets at least four times a year. Quorum is five Directors, of whom at least one must be an Independent Director. Minutes of every Board meeting are signed by the Chairman and filed with the Secretariat; abridged minutes are published to members through the member portal.

Separation from the Executive Committee

The Board sits above the Executive Committee. Day-to-day operational decisions — programme calendars, event budgets, member outreach — rest with the Executive Committee. The Board confines itself to fiduciary, legal, and constitutional matters, and intervenes in operational matters only where there is a clear governance concern.
